All investment products carry risks. Propiteer Capital PLC Bonds product are aimed at experienced investors who are classified as either sophisticated or high-net-worth individuals and have the knowledge and experience to make their own investment decisions. Before making any investments through the Propiteer Capital PLC Bonds platform, prospective Bondholders should read and consider the general risks described below.

Prospective Bondholders should also read and carefully consider the relevant prospectus, which covers the specific risk considerations associated with an individual offer.

General risk considerations are as follows;

Financial Services Compensation Scheme

Bondholders will not be able to claim under the Financial Services Compensation Scheme (“FSCS”). In the event of a loan default or if Propiteer Capital PLC becomes insolvent, you may lose some or all of your investment, including interest payments due.

Past performance

The value of the Bonds can go down as well as up and if you invest you might not get your money back. Past performance is not a guide to future performance.

Capital at risk

Bonds are investments, not deposits. Propiteer Capital PLC Bonds will aim to minimise risks but you should be aware that your capital is at risk. Interest payments are not guaranteed and you may not get back the amount invested.

Diversify your portfolio

To spread and alleviate risk we highly recommend you maintain a balanced investment portfolio. Propiteer Capital PLC are a higher risk/higher return investment product and you should spread your money across different types of providers and asset classes and adopt a diversified portfolio.

Investor Types

The Propiteer Capital PLC Bonds product is aimed at experienced investors who are classified as either sophisticated, professional or high-net-worth individuals and have the knowledge and experience to make their own investment decisions.

Only investors who qualify are eligible to invest. The information below shows the criteria by which investors can be classified. If you are unsure of your categorisation, please consult an independent financial adviser authorised under the Financial Services and Markets Act 2000.

Sophisticated Investor

When classifying yourself as a Sophisticated Investor you will be required to confirm the following declaration:

I declare that I am a Self-certified Sophisticated Investor for the purposes of the restriction on promotion of non-mainstream pooled investments. I understand that this means:

(i) I can receive promotional communications made by a person who is authorised by the Financial Conduct Authority which relate to investment activity in non-mainstream pooled investments;

(ii) The investments to which the promotions will relate may expose me to a significant risk of losing all of the property invested.

I am a self-certified sophisticated investor because at least one of the following applies:

(a) I am a member of a network or syndicate of business angels and have been so for at least the last six months prior;

(b) I have made more than one investment in an unlisted company in the two years prior;

(c) I am working, or have worked in the two years prior, in a professional capacity in the private equity sector, or in the provision of finance for small and medium enterprises;

(d) I am currently, or have been in the two years prior, a director of a company with an annual turnover of at least £1 million.

I accept that the investments to which the promotions will relate may expose me to a significant risk of losing all of the money or other property invested. I am aware that it is open to me seek advice from someone who specialises in advising on non-mainstream pooled investments.

High Net Worth Investor

When classifying yourself as a High Net Worth Investor you will be required to confirm the following declaration:

I declare that I am a certified High Net Worth Individual for the purposes of Financial Services and Markets Act 2000 (Financial Promotion) Order 2005.

I understand that this means:

(a) I can receive financial promotions that may not have been approved by a person authorised by the Financial Conduct Authority;

(b) the content of such financial promotions may not conform to rules issued by the Financial Conduct Authority;

(c) by signing this statement I may lose significant rights;

(d) I may have no right to complain to either of the following -

(i) the Financial Conduct Authority; or

(ii) the Financial Ombudsman Scheme;

(e) I may have no right to seek compensation from the Financial Services Compensation Scheme.

I am a certified high net worth individual because at least one of the following applies -

(a) I had, during the financial year immediately preceding the date below, an annual income to the value of £100,000 or more;

(b) I held, throughout the financial year immediately preceding the date below, net assets to the value of £250,000 or more. Net assets for these purposes do not include -

(i) the property which is my primary residence or any loan secured on that residence;

(ii) any rights of mine under a qualifying contract of insurance within the meaning of the Financial Services and Markets Act 2000 (Regulated Activities) Order 2001; or

(iii) any benefits (in the form of pensions or otherwise) which are payable on the termination of my service or on my death or retirement and to which I am (or my dependants are), or may be, entitled.

I accept that I can lose my property and other assets from making investment decisions based on financial promotions.

I am aware that it is open to me to seek advice from someone who specialises in advising on investments.

Professional Investor

When classifying yourself as a Professional Investor you will be required to confirm the following declaration:

I declare that I qualify as a per se Professional Investor because I fall into one of the categories below:

(a) an authorised person;

(b) an exempt person where the communication relates to a controlled activity which is a regulated activity in relation to which the person is exempt;

(c) any other person -

(i) whose ordinary activities involve him in carrying on the controlled activity to which the communication relates for the purpose of a business carried on by him; or

(ii) who it is reasonable to expect will carry on such activity for the purposes of a business carried on by him;

(d) a government, local authority (whether in the United Kingdom or elsewhere) or an international organisation;

(e) a person (“A”) who is a director, officer or employee of a person (“B”) falling within any of sub-paragraphs (a) to (d) where the communication is made to A in that capacity and where A's responsibilities when acting in that capacity involve him in the carrying on by B of controlled activities.

(f) For the purposes of paragraph (1), a communication may be treated as made only to or directed only at investment professionals even if it is also made to or directed at other persons to whom it may lawfully be communicated.

(g) Paragraph (1) does not apply to any communication in respect of a controlled claims management activity.

Everyday Investor

When classifying yourself as a Everyday Investor you will be required to confirm the following declaration:

I make this statement so that I can receive promotional communications relating to unlisted shares and unlisted debt securities as a restricted investor (Everyday Investor). I declare that I qualify as a restricted investor because:

(a) in the twelve months preceding, I have not invested more than 10% of my net assets in unlisted shares or unlisted debt securities; and

(b) I undertake that in the twelve months following I will not invest more than 10% of my net assets in unlisted shares or unlisted debt securities.

Net assets for these purposes do not include:

(a) the property which is my primary residence or any money raised through a loan secured on that property;

(b) any rights of mine under a qualifying contract of insurance; or

(c) any benefits (in the form of pensions or otherwise) which are payable on the termination of my service or on my death or retirement and to which I am (or my dependants are), or may be entitled.

I accept that the investments to which the promotions will relate may expose me to a significant risk of losing all of the money or other property invested. I am aware that it is open to me to seek advice from an authorised person who specialises in advising on unlisted shares and unlisted debt securities.
